Terms of Use
The terms that govern your use of www.desverso.co.uk and the services Desverso provides to clients in the United Kingdom.
Last updated: 16 October 2026
These terms apply to www.desverso.co.uk and to services that Desverso provides to clients in the United Kingdom. “Desverso”, “we” and “us” means Desverso LLC, a limited liability company registered in the State of Washington, USA, with its head office at 2135 112th Ave NE, Suite 201, Bellevue, WA 98004, USA.
We provide digital services including website design and development, ecommerce, mobile app development, custom software, UI/UX design, branding, logo design, animation, SEO, paid advertising, digital marketing, content creation and consulting. The scope, price and timetable of each project are set out in the written quote or proposal you accept; if anything in that document differs from these terms, the document you accepted applies.
Please read these terms together with our Refund & Cancellation Policy and Privacy Policy, which form part of them.
Business Clients and Consumers
Most of our clients are businesses. Where these terms say “business client”, they mean someone acting for the purposes of their trade, business, craft or profession. A “consumer” is an individual acting wholly or mainly outside those purposes.
Some terms apply differently to consumers, as stated. Nothing in these terms affects your statutory rights as a consumer. If you are buying as a consumer, the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you rights that this policy cannot remove. Citizens Advice (citizensadvice.org.uk) can explain them.
Our Services
- We will provide the services with reasonable care and skill, and within the time agreed in your quote or, if no time is agreed, within a reasonable time.
- You agree to provide the content, access, information and feedback we reasonably need, on time. Delays in providing these may move the timetable and, where agreed in writing, the price.
- Changes to the agreed scope are quoted separately and only go ahead once you approve them in writing.
Prices and Payment
- Prices are shown in pounds sterling. Prices advertised as “from” are starting prices; your written quote sets the final price before you pay.
- Unless your quote says otherwise, invoices are payable within 14 days.
- For business clients, we may charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may pause work while an invoice is overdue.
Revisions and Approval
Before a website or app goes live, all required features, content and revisions must be clearly communicated and finalised. Once the project goes live:
- Further design, content or layout changes are not included unless you have a maintenance or retainer agreement, or we agree them as a separate piece of work.
- A post-launch maintenance plan is recommended if you need ongoing updates or technical support.
- For website projects, once you approve the website layout(s), the refund rules for approved work in our Refund & Cancellation Policy apply.
Intellectual Property
The content of this website — including logos, visuals, text, designs, layouts, documentation and software — is owned by Desverso LLC or its licensors and is protected by the Copyright, Designs and Patents Act 1988 and other intellectual property laws. You may not reuse it without our written permission.
For client projects, ownership of the final deliverables passes to you once the project has been paid for in full, as set out in your quote. Until then, drafts, concepts, designs and code remain ours. Third-party items (such as fonts, plugins, stock media and licences) remain subject to their owners’ licence terms.
Our Liability
- Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England and Wales.
- Business clients: we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising from a project is limited to the fees paid for that project.
- Consumers: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not liable for business losses, as our services are supplied for business purposes.
- Information on this website is general in nature and is not professional, legal or financial advice. We aim to keep the site available and accurate but cannot guarantee uninterrupted, error-free operation, and we are not responsible for the content of third-party websites we link to.
Complaints
If something has gone wrong, please contact us first — we will acknowledge your complaint and try to resolve it quickly and fairly. This does not affect your right to use any other route available to you, including going to court.
Changes to These Terms
We may update these terms from time to time. The version in force when you accepted your quote applies to that project. Material changes that affect ongoing services will be notified to you in writing in advance.
Governing Law and Jurisdiction
These terms, and any dispute or claim arising from them or from our services, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and you keep the protection of the mandatory laws of the part of the UK where you live.
